Symplified Solutions Sàrl is a Swiss limited liability company incorporated under CHE-498.819.913, with its registered office at Chemin du Canard 35, 1162 Saint-Prex, Switzerland, offering integrated professional services in legal advisory, incorporation, compliance, audit, accounting, tax, and corporate governance (hereinafter the “Firm”).
These Terms of Service form part of the Service Proposal and shall govern the relationship between the Firm and the Client (as defined in the invoice or engagement letter).
1. Scope of Services
Symplified Solutions Sàrl provides the following categories of services, depending on the Client’s mandate:
1.1. Legal & Compliance Advisory
- Legal structuring for Swiss and international entrepreneurs
- Regulatory strategy (FINMA, SROs, VASPs, etc.)
- Drafting and review of internal policies, shareholder agreements, and commercial contracts
- Assistance in obtaining regulatory opinions and rulings
1.2. Incorporation Services
- Full company formation process in Switzerland, including:
- Domicile selection
- Management structure setup
- Notary coordination and commercial register filing
- Support for nominee director and domicile services, if required
- Assistance in opening Swiss bank accounts, whether capital is in fiat or crypto (in-kind contribution)
- Organisation of regular board/management meetings
1.3. Bookkeeping & Tax
- Day-to-day bookkeeping using automated accounting software
- Monthly and annual closings
- VAT registration and filing
- Annual Swiss tax returns for legal entities
- Payroll setup and reporting (upon request)
1.4. Audit Services
- Limited Audits: Fast delivery (<2 weeks), targeted to SMEs and startups
- Ordinary Audits: Full-scope compliance audits completed in <30 days
- Crypto-Focused Audits: Designed for blockchain businesses, DeFi protocols, exchanges, and wallet providers
The Firm conducts audit preparation and coordination and works in partnership with licensed audit firms when required by Swiss law.
1.5. Outsourced Compliance & Risk Management
Applicable to:
- Asset Managers (under FinIA)
- TCSPs (Trust and Company Service Providers)
- Family Offices
- Virtual Asset Service Providers (VASPs)
Services include:
- Second-level Compliance & Risk function
- Ongoing monitoring and reporting to governing bodies
- AML & KYC framework implementation
- Gap analysis and remediation plan
- Liaison with SROs and FINMA as needed
2. Execution & Mandate Initiation
Services are initiated upon written confirmation and the payment of a retainer as defined below. Communication will occur via teleconference, email, or through project management platforms agreed with the Client. Work may be detailed in pro forma invoices or engagement letters.
3. Pricing & Retainers
3.1. Standard Hourly Rate
All services are billed at CHF 200/hour (excluding VAT), unless a fixed-fee package is expressly agreed upon in writing.
3.2. Initial Retainer
A minimum retainer of 15 hours (CHF 3,000) is required to commence any project. Work is then billed in increments of 15-hour packages on a consumption basis.
4. Optional Monthly Retainer Packages

5. Compliance Officer Services
5.1. Non-SRO Registered Clients
- Application to a recognized Self-Regulatory Organisation (SRO)
- AML policy drafting
- SRO form preparation
- 10 hours included
- Flat fee: CHF 10,000 (valid 12 months)
Excludes legal opinions and SRO fees
5.2. SRO-Registered Clients
- 2.5 hours/month included (billed annually in advance)
- Non-cumulative
- Automatic renewal unless terminated with 3 months’ notice
Additional hours require a 15-hour extension package, valid for 12 months.
6. Payments, Currencies, Refund Policy
- Accepted currencies: CHF and EUR
- All retainers, packages, and time-based services are non-refundable
- Payment terms: 10 days net from invoice date unless stated otherwise
7. Validity of Proposal
This proposal is valid for a period of ten (10) days from the date of delivery, pursuant to Art. 3 of the Swiss Code of Obligations.
8. Governing Law and Jurisdiction
This agreement shall be governed by Swiss law. Any disputes shall be subject to the exclusive jurisdiction of the courts of Vaud, Switzerland, unless otherwise agreed in writing.
